1. Introduction

This Vendor Agreement ("Agreement") constitutes a legally binding contract between you as a vendor or seller ("Vendor", "Seller", "you", or "your") and Escrowfy ("Escrowfy", "we", "us", or "our") for participation in our marketplace platform.

By registering as a Vendor on our platform, listing products or services, or engaging in selling activities, you acknowledge that you have read, understood, and agree to be bound by these terms in addition to our general Terms of Service.

2. Seller Eligibility and Account

2.1. Eligibility Requirements

To become and remain a Vendor on Escrowfy, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction
  • Have a valid and active Escrowfy user account in good standing
  • Provide all required information for Vendor registration, which may include business name, contact information, and tax identification details
  • Have a valid method to receive payments
  • Comply with all applicable laws, regulations, and our platform policies
  • Pass our verification process, which may include identity verification and/or KYC procedures

2.2. Account Responsibilities

As a Vendor, you are responsible for:

  • Maintaining the security of your account credentials
  • Keeping your account information accurate and up-to-date
  • All activities that occur under your account
  • Promptly reporting any unauthorized access or security issues
  • Ensuring only authorized personnel have access to your Vendor account

2.3. Vendor Verification

Depending on your sales volume and the types of products you sell, you may be required to complete our verification process to become a Verified Seller. This process may include:

  • Identity verification through government-issued ID
  • Business verification documentation
  • Proof of address
  • Tax information verification
  • Additional security checks as deemed necessary

3. Product Listings and Sales

3.1. Product Requirements

All products or services listed on our platform must:

  • Comply with our Acceptable Use Policy and Terms of Service
  • Not infringe on any intellectual property rights or other rights of third parties
  • Be accurately and completely described in your listing
  • Be legal to sell in all applicable jurisdictions
  • Not be among our prohibited items (as listed in our Terms of Service)
  • Meet any category-specific requirements we may establish

3.2. Listing Content

When creating product listings, you must:

  • Provide clear, accurate, and complete descriptions of the products or services
  • Include all material information that would affect a buyer's decision to purchase
  • Use appropriate categories and tags
  • Set fair and transparent pricing
  • Include clear terms regarding delivery, usage rights, or any limitations
  • Upload original or properly licensed images that accurately represent the product
  • Disclose any potential issues, limitations, or compatibility requirements

3.3. Inventory and Availability

You are responsible for:

  • Maintaining accurate inventory records
  • Promptly updating product availability
  • Fulfilling orders for products listed as available
  • Notifying Escrowfy and affected buyers of any inventory issues

3.4. Pricing and Payments

As a Vendor, you have control over your product pricing, subject to the following terms:

  • All prices must be clearly displayed and include any applicable Vendor-side taxes
  • You may not manipulate the price after a buyer has committed to purchase
  • You acknowledge that Escrowfy will charge platform fees on completed sales as outlined in Section 4
  • You may offer discounts or promotions in compliance with applicable laws and our promotional policies
  • Payments will be processed through our escrow system as detailed in our Escrow Policy

4. Fees and Commissions

4.1. Platform Fees

For each completed sale, Escrowfy charges a platform fee based on the following schedule:

  • Standard Sellers: 5% of the transaction amount
  • Verified Sellers: 4% of the transaction amount
  • Super Sellers: 3% of the transaction amount

These fees are automatically deducted from the funds released to you upon successful completion of a transaction.

4.2. Additional Fees

Additional fees may apply for:

  • Featured or promoted listings (optional)
  • Special payment processing methods
  • Currency conversion, if applicable
  • Dispute resolution in certain circumstances

All fees will be clearly disclosed in your Vendor dashboard.

4.3. Payment Processing

After a transaction is completed and the buyer has approved the product or service:

  • Funds will be released from escrow to your Escrowfy wallet
  • Platform fees will be automatically deducted
  • You can withdraw funds to your designated external account according to our withdrawal policies
  • Minimum withdrawal amounts and withdrawal processing times are specified in our Wallet Policy

You are responsible for any taxes on your sales as required by applicable laws.

5. Seller Performance Standards

5.1. Performance Metrics

We monitor Vendor performance through several metrics, including:

  • Order fulfillment rate and timeliness
  • Buyer satisfaction ratings
  • Communication responsiveness
  • Dispute and refund rates
  • Policy compliance

5.2. Seller Levels

Based on your performance and activity, you may qualify for enhanced seller status:

  • Verified Seller: Requires identity verification, a minimum of 10 completed transactions, an average rating of at least 4.0/5.0, and a dispute rate below 5%.
  • Super Seller: Requires at least 50 completed transactions, an average rating of at least 4.5/5.0, a dispute rate below 2%, and consistently high performance over at least 3 months.

Enhanced seller status provides benefits including reduced platform fees, higher visibility in search results, and special badges on your listings and profile.

5.3. Policy Enforcement

Failure to maintain our performance standards may result in:

  • Loss of enhanced seller status
  • Reduced visibility of your listings
  • Temporary suspension of selling privileges
  • Permanent termination of your Vendor account in severe or repeated cases

6. Fulfillment and Delivery

6.1. Delivery Obligations

As a Vendor, you are responsible for:

  • Delivering products or services as described in your listing
  • Meeting the delivery timeframes specified in your listing
  • Communicating with buyers about delivery status
  • Providing any access instructions, download links, or credentials required to use the product
  • Confirming delivery through our platform

6.2. Digital Product Delivery

For digital products, you must:

  • Provide complete and functional files or access methods
  • Ensure files are free from malware, viruses, or other harmful components
  • Include any necessary instructions for installation or use
  • Clearly communicate any system requirements or compatibility information
  • Use our secure delivery system when available for your product type

7. Customer Service and Dispute Resolution

7.1. Customer Communication

You are expected to:

  • Respond to buyer inquiries within 24 hours during business days
  • Address buyer concerns professionally and courteously
  • Provide post-sale support regarding the use of your products
  • Use our platform's messaging system for all transaction-related communications

7.2. Dispute Handling

In case of transaction disputes:

  • You will be notified of any dispute opened by a buyer
  • You must respond to dispute notifications within 3 business days
  • You are encouraged to work with the buyer to reach a fair resolution
  • You must provide any requested information or evidence related to the dispute
  • You agree to abide by Escrowfy's final decision in cases where a mutual resolution cannot be reached

8. Intellectual Property

8.1. Your Intellectual Property

By listing products on our platform:

  • You represent that you own or have proper rights to use and sell all intellectual property associated with your products
  • You grant Escrowfy a non-exclusive, worldwide, royalty-free license to use your product listings, including images and descriptions, for marketplace operation and promotional purposes
  • You retain ownership of your intellectual property rights

8.2. Intellectual Property Claims

If you are accused of intellectual property infringement:

  • We may temporarily remove or disable access to the disputed listing pending investigation
  • You will be notified of any claims against your listings
  • You may provide a counter-notice if you believe the claim is erroneous
  • Repeated or severe intellectual property violations may result in account termination

9. Term and Termination

9.1. Term

This Agreement remains in effect from when you register as a Vendor until either party terminates it as described below.

9.2. Termination by Vendor

You may terminate this Agreement by:

  • Providing written notice to Escrowfy
  • Completing any pending transactions
  • Removing all active listings
  • Fulfilling all outstanding obligations to buyers and Escrowfy

9.3. Termination by Escrowfy

Escrowfy may terminate or suspend your Vendor account if:

  • You breach this Agreement or our Terms of Service
  • You engage in fraudulent, deceptive, or illegal activities
  • You fail to maintain acceptable performance standards
  • You have not had any sales activity for 12 consecutive months
  • We decide to cease providing the marketplace services

9.4. Effect of Termination

Upon termination:

  • All active listings will be removed
  • You must complete any pending transactions
  • You remain responsible for any liabilities incurred prior to termination
  • Escrowfy will pay any outstanding balance owed to you, less applicable fees and deductions
  • Certain provisions of this Agreement survive termination, including intellectual property, liability, and dispute resolution terms

10. Changes to Vendor Agreement

Escrowfy reserves the right to modify this Vendor Agreement at any time. Changes will be effective upon posting the updated Agreement on our website. We will provide notice of significant changes through:

  • Email notification to the address associated with your account
  • Notice in your Vendor dashboard
  • Announcement on our platform

Your continued use of our platform as a Vendor after changes to this Agreement constitutes acceptance of the modified terms.
